End User License Agreement

This End User License Agreement (the "Agreement" or "EULA") is a legal agreement between you (the "User" or "Licensee") and SafeCode Inc. DBA Exclusively Classics, a Texas corporation, with its principal place of business in Cedar Park, Texas ("Exclusively Classics," "we," "us," or "Licensor").

By accessing or using our website, booking services, online client portal, or any other digital interface provided by us (collectively, the "Licensed Platform"), you agree to be bound by the terms and conditions of this Agreement. If you do not agree, do not access or use the Licensed Platform.

1. License Grant

Subject to your strict compliance with the terms of this Agreement, Exclusively Classics grants you a limited, non-exclusive, non-transferable, revocable, and personal license to access and use the Licensed Platform strictly for your personal, non-commercial purposes related to scheduling, tracking, and engaging in classic vehicle restoration, repair, and community membership activities.

2. Restrictions on Use

You agree that you will not, and will not permit any third party to:

• Decompile, disassemble, reverse engineer, or attempt to derive the source code of the Licensed Platform.
• Modify, adapt, alter, translate, or create derivative works from the website or portal software.
• Sublicense, lease, rent, loan, distribute, or otherwise transfer access to the client portal or any proprietary materials to any third party.
• Remove or obscure any proprietary copyright, trademark, or ownership notices from any screen or documents issued by the shop.
• Use any automated scripts, web scrapers, spiders, or similar data extraction methods to collect information from the car show finder or gallery.

3. Intellectual Property & Content

You acknowledge and agree that the Licensed Platform, including its layout, designs, code, photos, text, custom fabrication designs, software integrations, and databases (including the curated Car Show database), contains proprietary and confidential information protected by applicable intellectual property and other laws. Exclusively Classics retains all right, title, and interest in and to the Licensed Platform and all underlying intellectual property rights. Nothing in this Agreement transfers any intellectual property rights to you.

4. Vehicle Information & Data Accuracy

When using our client portal or scheduling services, you may be required to submit vehicle identification numbers (VINs), photos, specifications, and other details. You represent and warrant that all vehicle information provided is accurate and that you are the lawful owner or authorized custodian of the vehicle. You acknowledge that some restoration evaluation and automated diagnostics are based on AI algorithms and historical data, and you agree to verify all results with our professional mechanics directly.

5. Term and Termination

This Agreement is effective until terminated. Your license to use the website and client portal will terminate automatically without notice if you fail to comply with any term or condition. Upon termination, you must immediately cease all access to and use of the client portal. Exclusively Classics reserves the right to suspend or terminate portal access, delete user accounts, or restrict website availability at any time, for any reason, at our sole discretion.

6. Disclaimer of Warranties

THE LICENSED PLATFORM AND DIGITAL PORTALS ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT ACCESS TO THE WEBSITE OR PORTAL WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT VEHICLE DIAGNOSTIC LOGS WILL BE FULLY ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAFECODE INC. DBA EXCLUSIVELY CLASSICS OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO $100.

8. Governing Law & Governing Jurisdiction

This Agreement and any dispute arising from it shall be governed by, construed, and enforced in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to this Agreement must be instituted exclusively in the federal or state courts sitting in Williamson County, Texas, and you consent to the personal jurisdiction and venue of such courts.

9. Severability & Entire Agreement

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. This EULA constitutes the entire agreement between you and Exclusively Classics regarding the digital Licensed Platform and supersedes all prior understandings.
